These Terms of Sale apply to all orders placed through the English version of www.novus.tr and to orders placed on the basis of a written quote from Novus Energy. Please read them before you place an order. By placing an order you accept these terms.

2. Scope and buyers

We sell to businesses (for example installers, contractors, building managers and distributors) and to private customers. The buyer is the person or company named in the order. If you buy as a consumer, the mandatory consumer protection rules of your country of residence apply in addition to these terms and take precedence where they give you more protection.

3. Products and product information

• Product descriptions, technical data and images on the website are prepared with care, based on manufacturer information. Images may be illustrative; the specifications in the order confirmation apply.
• The buyer is responsible for choosing products that are suitable for the intended installation and approved for use in the destination country. Please check your local regulations, for example metrological approval and periodic re-verification requirements for heat and water meters.
• Our team offers product advice on selection, sizing and compatibility before and after your purchase. Contact us if you are unsure which model to order.

4. Orders and contract formation

• Placing an order on the website, or accepting a written quote, is an offer to buy. You receive an automatic e-mail acknowledging receipt of your order; this acknowledgment is not yet an acceptance.
• The contract is concluded when we send you the order confirmation. The order confirmation is binding for both parties and states the products, quantities, prices, currency, shipping cost and delivery terms.
• Before confirmation we may decline an order, for example if a product is no longer available or a price was displayed in error. If a confirmed order cannot be fulfilled, we inform you without delay and refund any payment already received within 14 days.
• For large quantities and project orders we issue a written quote. The quote states its validity period and any terms that differ from these Terms of Sale; in case of conflict, the written quote prevails.

5. Prices and currency

• Prices are shown in USD or EUR, depending on the currency selected on the website. The prices valid at the time of your order apply.
• Export prices exclude Turkish VAT. For deliveries within Türkiye, Turkish VAT is added at the applicable rate.
• Shipping costs are shown separately at checkout or in your quote.
• Import duties, taxes and customs fees in the destination country are not included in our prices (see section 8).

6. Payment

• International bank transfer (SWIFT): please pay to the account shown on our Bank Details page and state your order number as the payment reference.
• Card payment: available only if it is offered at checkout. Card payments are processed by the bank or payment provider; we do not see or store your card number.
• Orders paid by bank transfer are processed once the full payment has been credited to our account, unless other payment terms have been agreed in writing.
• Bank charges of the buyer's bank and of any intermediary banks are borne by the buyer. Please make sure that the full invoice amount reaches our account.

7. Shipping and delivery

• All orders are shipped from Istanbul, Türkiye. We ship worldwide.
• Unless a written quote states otherwise, delivery is made DAP (Delivered at Place, Incoterms 2020) to the delivery address given in your order.
• The shipping cost is calculated at checkout based on destination and weight. For large quantities or bulky goods we send a freight quote.
• In-stock items are dispatched from Istanbul after payment; lead times for other items are confirmed with your quote or order confirmation. Delivery times given are estimates and may vary with customs clearance in the destination country.
• Every shipment is accompanied by a commercial invoice. You receive the tracking number by e-mail once your order has been dispatched.

8. Customs, import duties and taxes

• Import duties, import VAT or sales tax, customs clearance fees and any other charges levied in the destination country are paid by the buyer, unless agreed otherwise in a written quote.
• The buyer acts as the importer and provides any information the carrier or customs may require, such as a tax, VAT or company registration number.
• If a shipment is refused or cannot be cleared through customs for reasons attributable to the buyer, the costs of return shipment and any storage charges may be charged to the buyer or deducted from a refund.

9. Risk and ownership

The risk of loss or damage passes to the buyer when the goods are delivered at the named place of destination in accordance with DAP (Incoterms 2020), or as otherwise stated in the written quote. The goods remain the property of Novus Energy until the purchase price has been paid in full.

10. Inspection on delivery

Please check the package when it is delivered. If the package is visibly damaged, note the damage on the carrier's delivery receipt or have a damage report prepared, and inform us with photos as soon as possible, at the latest within 14 days of delivery. Missing items, wrong items and defects must also be reported within 14 days of delivery (see our Returns & Refunds page).

11. Returns and right of withdrawal

Unused products in their original packaging can be returned within 14 days of delivery. Consumers in the EU and UK keep their statutory 14-day right of withdrawal. Custom or configured products cannot be returned unless they are defective. Full details are given on our Returns & Refunds page.

12. Warranty

• Products are covered by the warranty of the manufacturer or importer. The warranty period and conditions are stated in the product documentation.
• For a defective product covered by the warranty, we arrange repair, replacement or a refund.
• The warranty does not cover damage caused by incorrect installation, improper use or operation outside the product's specifications.
• Statutory rights of consumers regarding defective goods are not affected.

13. Force majeure

We are not liable for delays or failure to perform caused by events beyond our reasonable control, such as natural disasters, war, strikes, epidemics, government measures or carrier disruptions. We inform you as soon as possible. You may then cancel the order and receive a refund of any payment made, accept a comparable product, or wait until the obstacle has been removed.

We process your personal data to handle your order. Details are given in our Privacy Policy and our Personal Data Protection Notice.

15. Governing law and jurisdiction

These Terms of Sale and all contracts concluded under them are governed by the laws of the Republic of Türkiye. The courts of Istanbul, Türkiye, have jurisdiction over any disputes. If you are a consumer, the mandatory consumer protection rules of your country of residence and any right you have to bring proceedings in your country of residence remain unaffected.

16. Changes to these terms

We may update these Terms of Sale from time to time. The version published on this page at the time of your order applies to that order.
